The contractual terms that govern access to the Preeley website, platform, subscriptions, and related services.

These Terms govern access to the Preeley marketing site and hosted services. By using Preeley or placing an order for the service, you agree to these Terms and any applicable order form, statement of work, or customer agreement.

Acceptance and account authority

You may use Preeley only if you are legally able to enter into a binding agreement and, when acting for an organization, are authorized to bind that organization.

If you access the service on behalf of an employer or other entity, references to "you" include that entity and its authorized users.

  • Keep credentials confidential and notify Preeley promptly of suspected unauthorized access.
  • Use the service only for lawful business purposes connected to leave support, employee wellbeing, and return-to-work operations.
  • You are responsible for activities conducted through your organization’s accounts, except to the extent caused by Preeley.

Subscriptions, billing, and renewals

Paid features are governed by the subscription terms in the applicable order form, plan selection, or renewal agreement. Fees are billed in advance unless the governing agreement states otherwise.

Customer fees are non-refundable except where required by law or expressly stated in a written agreement with Preeley.

  • Customer plans may include usage thresholds, seat limits, or annual plan allowances.
  • Late or failed payments may result in downgraded service, suspension, or delayed renewal processing after notice.
  • Taxes, duties, or similar governmental charges are the customer’s responsibility unless the invoice states otherwise.

Acceptable use

You may not misuse the Preeley site or service, interfere with its operation, or attempt to gain unauthorized access to data, systems, or accounts.

The platform is not a substitute for emergency services, medical diagnosis, or legal advice, and must not be used for activities that violate employment, privacy, or healthcare laws.

  • Do not upload malicious code, attempt to reverse engineer the service, or probe for vulnerabilities without written authorization.
  • Do not use the service to harass, discriminate against, or unlawfully monitor employees.
  • Do not submit data you are not authorized to process or disclose.

Customer data, intellectual property, and feedback

As between the parties, customers retain ownership of the data they submit to the service, and Preeley retains ownership of the platform, software, documentation, and related intellectual property.

You grant Preeley the rights needed to host, process, transmit, and display customer data solely to provide and improve the service in accordance with the agreement and our Privacy Policy.

  • Preeley may use de-identified and aggregated data for analytics, benchmarking, and service improvement.
  • Feedback provided to Preeley may be used without restriction or compensation.
  • No rights are granted except as expressly stated in these Terms or the applicable order form.

Service changes and availability

Preeley may update, enhance, or modify the service over time, including improving workflows, controls, integrations, and user experience.

We aim for high availability, but uninterrupted or error-free service is not guaranteed, and scheduled maintenance or emergency changes may affect access from time to time.

Disclaimers

Except as expressly set out in a signed agreement, Preeley provides the site and services on an "as is" and "as available" basis.

To the maximum extent permitted by law, Preeley disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Limitation of liability

To the maximum extent permitted by law, Preeley will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.

Except for obligations that cannot lawfully be limited, each party’s aggregate liability arising out of or relating to the service will not exceed the amounts paid or payable by the customer to Preeley for the relevant service during the 12 months preceding the event giving rise to the claim.

Termination, governing law, and contact

Preeley may suspend or terminate access for material breach, non-payment, or security risk after providing notice when reasonably practicable. Customers may stop using the service at any time, but subscription commitments remain subject to the applicable agreement.

Unless a customer order form states otherwise, these Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Questions about these Terms may be sent to our legal team.
